Schneider Electric plans to acquire PTC for $23.7 billion
The cash offer of $205 per share is 42.3 percent above the last closing price. With PTC, Schneider would expand its software business to include CAD, PLM, and product development.

Schneider Electric plans to acquire the U.S. industrial software provider PTC. The proposed deal values PTC, including debt, at $23.7 billion. Schneider is offering $205 per share in cash, which represents a 42.3 percent premium over the last closing price before the transaction was announced.
The acquisition would significantly expand Schneider’s software portfolio in the area of product development. PTC is known in the market for products such as the Creo CAD software and the Windchill PLM platform, among others. The portfolio also includes Onshape, Codebeamer, and ServiceMax. This would allow Schneider to cover the development phase of industrial products more extensively in the future, in addition to automation and operational software.
The transaction is part of the expansion of the software business that has been underway for years. Schneider has expanded its portfolio through acquisitions such as Aveva, RIB, Etap, and Osisoft. Additionally, the acquisition of Cognite is planned. PTC, on the other hand, had recently streamlined its portfolio and sold Thingworx and Kepware to TPG in March 2026.
Analysts at Interact Analysis view the PTC acquisition as posing particularly strong competition for Siemens and Dassault Systèmes. However, Siemens already has a broad offering in Xcelerator that integrates product development, simulation, manufacturing, and automation.
There is also still a significant difference in revenue. According to Interact Analysis, Siemens Digital Industries generated approximately 17.8 billion euros in revenue in fiscal year 2025. Schneider Industrial Automation and PTC together account for the equivalent of approximately 9 billion euros, although both figures include hardware and services in addition to software.
