Antares Vision and ALP.I merge

Antares Vision and ALP.I SPAC (Special Purpose Acquisition Company) sign a merger agreement ten months after the initial public offering of ALP.I. The merger of the two companies is intended to further support and accelerate the growth path of Antares Vision. Therefore, ALP.I will invest 70 million euros, which means about 12 percent of the shares. The Annual General Meeting for the approval of the business combination will take place in February 2019.
Antares Vision was founded in 2007 by Emidio Zorzella and Massimo Bonardi, two Opto-Electronics engineers from Brescia. Antares vision has quickly become one of the leading companies in hardware and software traceability solutions in the pharmaceutical sector. More than 2,000 installed serialization solutions in over 200 pharmaceutical companies worldwide ensure 100% tracking along the entire supply chain. Antares Vision is the sole or major supplier to ten of the world's top 20 pharmaceutical companies. The export share is over 80 percent. Antares Vision operates globally and provides services around the clock in more than sixty different countries.
The transaction supported ALP.I by Mediobanca - Banca di Credito Finanziario as financial advisor, BonelliErede as legal advisor, and Honigman Miller Schwartz and Cohn for legal due diligence on the US subsidiaries of Antares Vision. The New Deal Advisors group helped with financial due diligence and PricewaterhouseCoopers as the auditors. Antares' vision was supported by Rothschild & Co as financial adviser, Orsingher Ortu - Avvocati Associati as legal advisor and EY as auditor. Equita SIM has acted as a consultant and specialist.
